1. Definitions
“Seller”: PT. Rimei Energy Jaya, a company duly organized and existing under the laws of the
Republic of Indonesia, with its registered office at Green Lake City, Rukan Great Wall Blok B No. 5
Kota Tangerang, KodePos 15147 Indonesia.
“Buyer”: Any legal entity or individual who places an Order with the Seller.
“Order”: The Buyer’s offer to purchase Goods from the Seller, indicating the type, quantity, and
agreed price of the Goods.
“Goods”: The products or services offered for sale by the Seller and specified in the Order.
“Contract”: The legally binding agreement formed upon the Seller’s acceptance of the Buyer’s Order.
2. Scope
These General Terms of Sale shall apply to all sales of Goods by the Seller to the Buyer. Any
conflicting terms proposed by the Buyer are expressly rejected and shall not form part of the Contract
unless explicitly agreed to in writing by the Seller.
3. Orders and Acceptance
All Orders are subject to acceptance by the Seller. The Contract is formed only when the Seller issues
a written acceptance or confirmation of the Order.
The Seller reserves the right to refuse any Order at its sole discretion.
4. Prices and Payment
Prices are as stated in the Seller’s price list or quotation at the time of the Order, unless otherwise
agreed in writing. Prices are exclusive of any applicable taxes, duties, or shipping costs, which shall
be borne by the Buyer.
Payment terms are specified in the quotation. The Seller reserves the right to charge interest on overdue
payments at a rate of 5% per month, calculated on a pro-rata basis.
5. Delivery
Delivery dates are estimates and are not guaranteed. The Seller shall not be liable for any delays or
losses arising from late delivery.
Risk of loss or damage to the Goods passes to the Buyer upon delivery.
6. Retention of Title
Title to the Goods shall remain with the Seller until full payment has been received.
7. Warranty
The Seller warrants that the Goods shall be free from defects in material and workmanship for a period
of 12 months from the date of delivery.
The Seller’s sole obligation under this warranty shall be to repair or replace defective Goods, at its
option.
This warranty does not cover defects caused by misuse, improper installation, or normal wear and tear.
8. Limitation of Liability
The Seller’s liability for any claims arising out of or in connection with the Contract shall be limited to
the price of the Goods.
The Seller shall not be liable for any indirect, incidental, or consequential damages, including loss of
profits or business interruption.
9. Force Majeure
The Seller shall not be liable for any delay or failure to perform its obligations under the Contract if
such delay or failure is caused by events beyond its reasonable control, including but not limited to
acts of God, war, strikes, or government restrictions.
10. Governing Law and Jurisdiction
The Contract shall be governed by and construed in accordance with the laws of the Republic of
Indonesia.
11. Confidentiality
Any confidential information disclosed by one party to the other in connection with the Contract shall
be kept confidential and shall not be disclosed to any third party without the prior written consent of
the disclosing party.
12. Miscellaneous
These General Terms of Sale constitute the entire agreement between the parties and supersede any
prior or contemporaneous communications or agreements.
No waiver of any breach of these General Terms of Sale shall be deemed a waiver of any subsequent
breach.
If any provision of these General Terms of Sale is held to be invalid or unenforceable, the remaining
provisions shall remain in full force and effect.
